Solar Heroes – Terms & Conditions

These Terms and Conditions (“Terms”) apply to all quotations, offers, contracts, sales, installations, and services provided by Solar Heroes (“the Contractor”) to any customer (“the Client”). By accepting an offer, placing an order, or signing a quotation, the Client agrees to these Terms.

No part of this website may be copied, republished, redistributed, transmitted, modified, or otherwise used for commercial purposes without the prior written consent of Solar Heroes.
The content is provided “as is” and may change or become outdated at any time. Visitors are advised to verify any information before relying upon it.
Article 1 – Definitions and Scope
1.1 Definitions
Contractor: Solar Heroes, operating as a solar energy systems supplier and installer.
Client: Any individual or company purchasing products or services from the Contractor.
Products: Solar panels, batteries, inverters, optimizers, structures, and any other components forming part of a photovoltaic (PV) system.
Services: Design, installation, commissioning, maintenance, repair, consultancy, and related work performed by or on behalf of the Contractor.
Quotation: The Contractor’s written offer to the Client, including a description of products, services, and prices.
Agreement: The binding contract formed when the Client accepts the Quotation or order confirmation in writing.
System: The fully installed and operational solar power system delivered under the Agreement.
Price: The total amount due by the Client as stated in the Quotation and/or Agreement.
Additional Work: Any modification, addition, or adjustment requested by the Client or required due to unforeseen circumstances.
1.2 Applicability
These Terms apply to all transactions and supersede any prior agreements, unless otherwise agreed in writing.
1.3 Amendments
Solar Heroes reserves the right to amend these Terms from time to time. Any updates will be published or communicated in writing before taking effect.
Article 2 – Offers, Orders, and Delivery
2.1 Validity
Quotations remain valid for the period indicated therein. The Contractor may withdraw or modify a quotation prior to written acceptance by the Client.
2.2 Formation of Agreement
An Agreement is formed once the Client signs the Quotation, sends written confirmation, or otherwise accepts the offer.
2.3 Delivery and Installation Schedule
The Contractor will indicate estimated delivery and installation dates. Dates are indicative and subject to change depending on availability of materials, import conditions, or logistical delays.
2.4 Rescheduling and Cancellation
The Client may reschedule installation at no cost up to 14 days before the scheduled date. Later changes may incur a handling fee. If the Client is not present at the agreed installation time, call-out costs may be charged.
2.5 Substitutions
Due to technological advancements, the Contractor may deliver equivalent or upgraded components if original parts are unavailable, provided functionality and performance are maintained.
2.6 Transfer of Risk
Risk of loss or damage passes to the Client once the installation is completed and the acceptance certificate (“Handover Form”) is signed.
Article 3 – Prices and Payments
3.1 Price
The Price stated in the Quotation is binding once the Agreement is signed. Obvious clerical or calculation errors may be corrected.
3.2 Payment Terms
Payments are due as per the payment schedule stated in the Quotation or invoice, generally within 15 days of invoice date.
3.3 Non-Payment
Late payments shall incur statutory or reasonable commercial interest and collection costs. The Contractor may suspend delivery or installation until payment is received.
3.4 Taxes
All prices are exclusive of VAT, sales tax, or other applicable levies unless explicitly stated otherwise.
Article 4 – Retention of Title
All Products remain the property of the Contractor until full payment of all amounts due has been received.
Until ownership passes, the Client shall:
- not sell, pledge, or otherwise encumber the Products,
- store and maintain them with reasonable care, and
- inform third parties (e.g. property buyers or mortgage holders) that the Products remain property of the Contractor.
In case of default, insolvency, or non-payment, the Contractor may remove and reclaim the Products without court intervention. The Client must grant access for such recovery.
Article 5 – Installation and Client Obligations
5.1 Access and Preparation
The Client shall provide safe access to the site, suitable structural surfaces for installation, and sufficient electrical capacity.
5.2 Permits and Approvals
It is the Client’s responsibility to obtain all necessary permits and permissions for installation. Refusal or delay of such approvals shall not be a Contractor’s liability.
5.3 Roof and Structural Condition
Before installation, the Client must ensure the roof or supporting structure is sound and capable of bearing the additional load. Damage resulting from hidden defects or insufficient structure lies with the Client.
5.4 Installation Process
The Contractor or its installer will:
- position and secure panels, inverters, and batteries;
- connect all electrical components;
- test and commission the System; and
- provide the Client with manuals and warranty documentation.
5.5 Additional Work
Any unforeseen modifications or extra work will be documented and invoiced separately.
Article 6 – Warranty and Maintenance
6.1 Manufacturer Warranties
Solar panels, inverters, and batteries carry the respective manufacturer warranties, which may differ per component. These will be communicated in the Quotation.
6.2 Installation Warranty
The Contractor provides a 5-year warranty on installation workmanship, covering defects arising from incorrect installation.
6.3 Maintenance Services
Solar Heroes may offer maintenance packages for ongoing cleaning, inspection, and performance checks. Details, pricing, and duration will be stated in the Agreement.
6.4 Exclusions
Warranty does not cover damage caused by:
- misuse, modification, or improper operation,
- external causes (storms, floods, fire, theft, animals, vandalism, etc.),
- inadequate maintenance,
- third-party repairs without written authorization,
- grid instability or external electrical faults.
6.5 Claims
Warranty claims must be reported within a reasonable time after discovery and include proof of purchase and system details.
Article 7 – Liability
7.1 Limitation
The Contractor’s liability, whether in contract or tort, is limited to the lesser of (a) the total contract value or (b) the amount covered by the Contractor’s insurance.
7.2 Exclusions
The Contractor shall not be liable for indirect, consequential, or incidental damages, such as loss of profit, business interruption, or data loss, except in cases of willful misconduct or gross negligence.
7.3 Third-Party Claims
The Client indemnifies the Contractor from any third-party claims resulting from misuse, modification, or improper maintenance of the System.
Article 8 – Intellectual Property and Confidentiality
All technical designs, drawings, manuals, proposals, and related documentation remain the intellectual property of Solar Heroes or its suppliers.
The Client may not copy, reproduce, or disclose such materials without written consent.
Both parties shall keep all non-public business, pricing, and technical information strictly confidential for at least five (5) years after termination of the Agreement.
Article 9 – Force Majeure
Neither party shall be liable for delays or failure to perform obligations due to events beyond reasonable control, including natural disasters, wars, pandemics, import restrictions, or supplier shortages.
If such events persist beyond six months, either party may terminate the Agreement without liability.
Article 10 – Termination
Solar Heroes may terminate the Agreement immediately if the Client:
- fails to meet payment or contractual obligations,
- becomes insolvent or bankrupt, or
- engages in fraudulent or unsafe activities related to the installation.
Termination shall not relieve the Client from payment obligations for Products or Services already delivered.
Article 11 – Data Protection
Solar Heroes processes personal data only for legitimate business purposes—quotation, delivery, service, and maintenance—and in compliance with applicable data protection regulations.
Personal data will never be sold or shared with unauthorized third parties.
Article 12 – Assignment
Solar Heroes may assign or subcontract rights or obligations under this Agreement to qualified third parties.
The Client may not transfer the Agreement without prior written consent.
Article 13 – Governing Law and Dispute Resolution
These Terms are governed by general principles of international commercial law.
In the event of a dispute, both parties will first attempt to resolve it amicably.
If unresolved, disputes shall be settled by arbitration under UNCITRAL Rules or by the competent court in the Contractor’s country of registration.
Article 14 – Miscellaneous and Additional Provisions
If any clause of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
The Contractor may publish updated Terms, which will apply to future transactions.
Solar Heroes encourages clients to dispose of end-of-life solar modules and batteries responsibly, in accordance with local recycling guidelines.
